Premium Pay Terms and Conditions

Article 1. Purpose

These terms and conditions govern the use of Premium Bandai Pay issued by BANDAI SPIRITS Co., Ltd. (hereinafter referred to as "our company"). These terms and conditions apply when users use this service. In order to use this service, you will need to register as a Premium Bandai member. Please refer to Article 2 for definitions of terms.

Article 2. Definitions

The terms used in these Terms and Conditions shall have the following meanings:
1. Premium Bandai Pay
This refers to a prepaid payment instrument issued by our company that is linked to and recorded in relation to Premium Bandai membership information, which replaces monetary value with electronic data and allows products to be purchased in stores using the pre-deposited amount.
2. Users
A "Premium Bandai" refers to a person who is a Premium Bandai member and who has legitimately acquired Premium Bandai Pay in accordance with the procedures established by our company and holds it in accordance with these terms and conditions.
3. Products
This is a general term for products sold in stores. However, this does not include Premium Bandai Pay.
4. Stores
This refers to stores designated by our company where you can use Premium Bandai Pay. There are physical stores and online EC stores, and you can check the details on Premium Bandai.
5. The Service
"Premium Pay" refers to the service provided by our company to users pursuant to these terms and conditions, which allows users to use Premium Pay as a payment method when purchasing products, etc. in stores, and the service, which is related to said payment service, allows users to check their Premium Pay balance and usage history, etc.
6. Premium Bandai
This refers to the mail order site "Premium Bandai" operated by our company.

Article 3. Publication

Those who wish to purchase Premium Ban Pay can receive Premium Ban Pay through the method specified by our company. Minors can purchase Premium Ban Pay with the prior consent of their legal guardian.

Article 4. Use

1. When purchasing products at a physical store using Premium Ban Pay, you can use Premium Ban Pay by reading the 2D code displayed on the user's computer, mobile phone, tablet or other device with the device of your choice.
2. When purchasing products at an e-commerce store with Premium Ban Pay, you can use Premium Ban Pay by selecting it as the payment method on the website screen where you purchase the product.

Article 5. Inquiry of balance, etc.

1. Your Premium Ban Pay balance will be displayed on your receipt, and can also be checked on the Premium Ban Pay dedicated page set up by our company (hereinafter referred to as "My Page").
2. In addition to the balance, you can also check your usage history on My Page. However, the scope of the usage history that will be displayed will be determined separately by our company.

Article 6. Prohibition of redemption

1. Premium Ban Pay cannot be converted into cash. However, if the Company completely terminates the handling of Premium Ban Pay pursuant to Article 14, Paragraph 1, the Company shall comply with the same Article.
2. Except as provided for by law, we will not refund Premium Ban Pay, regardless of the remaining balance.

Article 7. Reissue

1. If Premium Pay is lost, stolen, or tampered with, the Premium Pay function will not be suspended, and no refunds or reissues will be provided.

Article 8. Expiration Date

1. The validity period of Premium Ban Pay is three years from the date of the last change in the balance. If the validity period passes, the Premium Ban Pay will become invalid regardless of whether there is a balance or not, and the balance will not be refunded.
2. The expiration date of your Premium Ban Pay can be checked on your My Page or by other methods separately specified by our company.
3. Notwithstanding the expiration date under paragraph 1 of this Article, if the User loses or is terminated from using the Service, Premium Ban Pay will become invalid at that point.

Article 9. Outsourcing

We may outsource part of the operation and management of the Service under these Terms to a third party.

Article 10. User Compliance

1. The user shall refrain from engaging in any of the following acts.
(1) Using Premium BanPay for any illegal, fraudulent or offensive purposes.
(2) Destroying, analyzing or falsifying software or other systems related to balance management or Premium Ban Pay balances, or cooperating in such acts.

Article 11. Suspension and Cancellation of User Certification

1. If a User's Premium Bandai membership registration expires (including if the User cancels or withdraws from membership), the User will lose the right to use this Service.
2. If the Company determines that a User falls under any of the following items, the Company may suspend the User's use of the Service or revoke the User's eligibility to use the Service without prior notice.
(1) When Premium Ban Pay is used for illegal or fraudulent purposes or for purposes that go against public order and morals, or when there is a possibility of a violation of these Terms and Conditions.
(2) If Premium Ban Pay has been obtained illegally or fraudulently, or if there is a risk of obtaining it.
(3) If you intentionally damage Premium Ban Pay.
(4) If a person is unqualified to be a user in light of his/her usage of the Service.
3. When the Company determines that a User falls under any of the following items, the Company may suspend the User's use of the Service without prior notice.
(1) If the Premium Ban Pay held by the user has been used or is in danger of being used for a crime.
(2) If the Premium Ban Pay held by the user has been forged or misused, or there is a risk that it will be forged or misused.
4. If the Company suspects that a User falls under paragraph 2 or 3 of this Article, the Company may temporarily hold the Premium Ban Pay held by the User for the purpose of investigation.
5. If a user loses or is revoked from the eligibility to use the Service, the user will not be able to use the Service. In this case, the balance of Premium Ban Pay held by the user will become invalid and will not be refunded regardless of the remaining balance.
6. Even if a User incurs damages due to the suspension of use of the Service or the cancellation of eligibility to use the Service based on this Article, the Company shall not be liable for such damages.

Article 12. Suspension or Cancellation of Use

1. If the Company determines that any of the following events occur, the Company may suspend or discontinue all or part of the Service without notifying the User. In such case, the User will not be able to use all or part of the functions of the Service.
(1) When Premium Ban Pay has been counterfeited, obtained illegally or fraudulently, or used fraudulently, or there is a risk of such.
(2) When it is not possible to provide the Service due to natural disasters, power outages, system failures, communication failures, malfunctions of store terminals, or other unavoidable reasons.
(3) When it is necessary to shut down the system related to this service for system maintenance, inspection, etc.
(4) If there is suspicion that this service is being used for a crime.
(5) In cases where other unavoidable circumstances arise.
2. The Company shall not be liable for any damages suffered by users arising from the inability to use the Service due to the suspension or interruption of all or part of the Service based on the preceding paragraph.
3. If a User becomes aware that Premium Ban Pay is counterfeit, altered or fraudulently created, the User must not use it. In such a case, the User must immediately notify the Company of such fact in the prescribed manner.
4. Purchases of Premium Ban Pay can only be made during the hours designated by the store. However, Premium Ban Pay may not be available for purchase due to power outages, machine failures, system maintenance inspections, counterfeiting, or other unavoidable reasons related to safety management.

Article 13. Changes to the Service

We may change the content of this service at any time at our discretion.

Article 14. Termination of the Service

1. The Company may completely terminate the Service due to reasons such as natural disasters, changes in social conditions, amendments or repeal of laws and regulations, other technical or business decisions, etc. In such a case, the Company will take measures to notify users by a prescribed method.
2. In the case of the preceding paragraph, the user (limited to those who currently hold Premium Ban Pay) may request a refund of the remaining balance of Premium Ban Pay by a method separately specified by the Company, and the Company will make the refund after confirming the remaining balance.
3. Notwithstanding the provisions of the preceding paragraph, if we are unable to confirm the balance, we will not be obligated to make a refund.
4. If the Company terminates the Service pursuant to this Article, the Company shall not bear any liability whatsoever other than the obligation to make a refund to the User pursuant to this Article.

Article 15. Limitation of Liability

1. If a User incurs damage due to the inability to use all or part of the Service, the Company shall not be liable for compensation for such damage, except in cases where the inability to use the Service is due to reasons attributable to the Company (provided, however, that cases where the User is unable to use the Service in accordance with Articles 11 to 14 are not cases attributable to the Company).
2. Notwithstanding the preceding paragraph, the Company shall not compensate the User for any indirect damage or lost profits, except in cases where the Company is guilty of intentional or gross negligence.

Article 16. Changes to Terms and Conditions

In the event of any changes to these Terms and Conditions, we will notify users of the revised Terms and Conditions by appropriate means (e-mail, posting on Premium Bandai, etc.) with a certain period of notice, and the revised Terms and Conditions will become applicable once the notice period has elapsed.

Article 17. Jurisdiction

In the event of a dispute between us and any third party concerning transactions based on these terms and conditions, the Tokyo District Court shall be the court of first instance with exclusive jurisdiction.

Article 18. Governing Law

These terms and conditions shall be governed by the laws of Japan.
